This service is to set up and register a Public Company Limited by Guarantee with ASIC. You will need to source a Constitution externally or our legal services provider can assist on a fee-for-service basis.

This service provides you with the documents required to establish both a Self-Managed Super Fund (‘SMSF’) and a Special Purpose Company (to act as trustee).

This service is to set up and register a Special Purpose Company that will act solely as the Trustee of a SMSF, thus qualifying it for a reduced annual renewal fee with ASIC. This company type differs from a standard company as no dividends or distributions may be paid to the Members and the Constitution contains some provisions tailored to reflect the company’s role as Trustee of a SMSF.

Once your application is approved by ASIC, the name will be reserved for two months. If you wish to extend this period, you will need to apply to reserve the name again.

By executing this SMSF Deed of Variation, the Fund adopts a new set of governing rules.

The Deed of Change of Trustee takes the approach of retiring or removing all existing trustees (including any that intend to continue as Trustee) and then appointing new trustees (including those wishing to continue).

As part of the process for adding a new member to a SMSF, this document serves as notification that the incoming Trustee/Director has consented to act as a Trustee/Director of the Corporate Trustee and now applies for membership of the Fund. This does not replace a Deed of Change of Trustee (which is a separate service).

The Trustee of a SMSF bears the responsibility of managing the investments of the Fund – accordingly, they must formulate, implement and regularly review its Investment Strategy.

This Deed restricts the distribution of trust assets (both capital and income) to the designated/named beneficiaries and their lineal descendants and certain other beneficiaries such as related companies and trusts, charities etc.

This Deed limits the capital of the trust to benefit specified lineal descendant beneficiaries. Income beneficiaries are a broader range of beneficiaries, e.g., related entities, charities etc.

The Deed of Change of Trustee takes the approach of retiring or removing all existing trustees (including any that intend to continue as Trustee) and then appointing new trustees (including those wishing to continue).

This Deed of Variation is to vary an existing Discretionary Trust to include provisions in it that specifically and irrevocably exclude any “Foreign Person” from benefiting from the Trust.
